LICENSE AGREEMENT FOR DIGITAL PRODUCT: LEADERSHIP DISCOVERY  

This License Agreement ("Agreement") is entered
into by and between you ("Licensee") and Molly Grisham, Influence LLC
("Licensor") for the use of the digital product known as Leadership
Discovery ("Product").

LICENSE GRANT: The Licensee is granted a non-exclusive,
non-transferable license to use the Product solely with individual teams they
coach. This license does not permit the Licensee to use the Product with entire
schools, athletic departments, or clubs. Any use of the Product beyond the
scope of this license is strictly prohibited and may result in the revocation
of the license.

USE: The Product is licensed solely for the use of the
Licensee. The Licensee may use the Product with their individual teams, subject
to the following restrictions: (i) the Licensee shall not permit any third
party to use the Product or any part thereof; (ii) the Licensee shall not copy,
distribute, modify or edit, resell, upload to public forums, or create
derivative works of the Product; (iii) the Licensee shall not reverse engineer,
disassemble, or decompile the Product; (iv) the Licensee shall not remove or
obscure any copyright or trademark notices contained in the Product; and (v)
the Licensee shall not use the Product for any unlawful purpose or in any
manner that infringes upon the rights of Licensor or any third party.

OWNERSHIP: The Product and all intellectual property rights
therein shall remain the sole and exclusive property of the Licensor.

TERMINATION: Licensor may terminate this Agreement at any
time if the Licensee breaches any of the terms or conditions set forth herein.
Upon termination, Licensee shall immediately cease using the Product and
destroy all copies of the Product in its possession.

LIMITATION OF LIABILITY: In no event shall the Licensor be
liable for any indirect, special, incidental, or consequential damages arising
out of or in connection with the use or inability to use the product, even if the
Licensor has been advised of the possibility of such damages.

GOVERNING LAW: This Agreement shall be governed by and
construed in accordance with the laws of the state of Missouri without giving
effect to any choice of law or conflict of law provisions.

ENTIRE AGREEMENT: This Agreement constitutes the entire
agreement between the parties and supersedes all prior or contemporaneous
communications and proposals, whether oral or written, with respect to the
Product.
